FUTURES PLATFORM™ SERVICES
1. Applicability. Please read these Terms of Service (“Terms”) carefully because they are a binding agreement between a user (“you”) and Futures Platform (“Futures Platform” or “we”). These Terms govern your use of the Futures Platform website and other Futures Platform services that link to these Terms. In these Terms, the word “Services” refers to each of these websites and the services. You automatically agree to these Terms and to our Privacy Policy by using or logging into the Services. If you are accepting these Terms and using the Services on behalf of a company, organisation, or other legal entity, you represent and warrant that you are authorised to do so and have the authority to bind such entity to these Terms, in which case the words “you” and “your” as used in these Terms shall refer to such entity. If it turns out that a particular provision in these Terms is not enforceable, that will not affect any other provision in these Terms.
2. Creation of Account. You may be required to create an Account (“Account”) and specify a password in order to use certain features of the Services. To create an Account, you must be at least 18 years old, and you must provide truthful and accurate information about yourself. Do not try to impersonate anyone else when you create your Account. If your information changes at any time, please update your Account to reflect those changes.
3. Assigned Account. Your Account may also be assigned to you by an administrator, such as your employer. If you are using or logging into an Account assigned to you by an administrator, additional terms may apply to your use of the Services. Moreover, your administrator may be able to access or disable your Account without our involvement.
4. Account Credentials. You may not share your Account with anyone else. Please keep your password confidential. If you believe that your Account has been compromised at any time, please notify us or your Account administrator.
5. Acceptable Use. You must access and use our Services only for legal, authorised, and acceptable purposes. Do not use the Services in a way that violates any laws, infringes on anyone’s rights, is offensive, or interferes with the Services or any features on the Services. If we in our sole discretion determine that you have acted inappropriately, we reserve the right to take down your content, terminate your Account, prohibit you from using the Services, and take appropriate legal action.
6. Your Content. We may provide opportunities for you to post content on the Services (“User Content”). You can only post User Content if you own all the rights to that User Content, or if another rights holder has given you permission. You are responsible for your use of the Services and for any User Content you provide, including compliance with applicable laws, rules, and regulations and non-infringement of intellectual property rights. You do not transfer ownership of User Content simply by posting it. However, by posting User Content, you grant us, our affiliates and applicable contractors a worldwide, limited right to host, copy, transmit and display User Content as necessary for us to provide the Services. You understand that User Content is subject to automated analysis by vectoring algorithms or large language models (LLM) and may be subject to third-party terms. User Content will not be used to train third-party artificial intelligence models or LLMs. If you believe that your content has been copied in a way that constitutes copyright infringement, please notify us in writing.
7. Futures Platform Content. Using our Services does not give you ownership of any intellectual property rights to the Futures Platform content (“Futures Platform Content”) you access via the Services. You may use Futures Platform Content solely for your internal personal or business purposes during the term of the agreement. It is expressly prohibited to enter Futures Platform Content into any artificial intelligence tool or service or otherwise use automated systems (such as “robot”, “spider”, “scraper” and “offline reader” software) to read, collect or make copies of the content or its parts, for example without limitation, for the purposes of text and data mining, machine learning, development of artificial intelligence or training or enrichment of algorithms.
8. Personal Data and Data Protection. You acknowledge that we process your personal data when you are using the Services, e.g. accessing the website or login into the Services. You acknowledge that we may communicate with you by email or by posting notices on the Service. Your data will be processed in accordance with applicable legislation and our Privacy Policy. You acknowledge that your name and any User Content you communicate via Service, e.g. in a radar, scenarios, or comments, may be seen by others who have a link to such User Content.
9. Our Warranties and Disclaimers. We provide our Services using a commercially reasonable level of care and promise to do our best to make sure you enjoy the Services. We use commercially reasonable efforts to make the Services available for Users without material errors or interruptions and we create Futures Platform Content in good faith using information sources that are considered reliable by us. Other than as expressly set out in these Terms, we will not make any specific promises about the Services, e.g. we don’t make any commitments about the specific function of the Services, or their reliability, availability, or ability to meet your needs. We provide the Services “as is”. To the extent permitted by law, we exclude all warranties.
10. Liabilities. You agree to indemnify, release, and hold us harmless from any all liability, claims, actions, loss, harm, damage, injury, cost or expense arising out of your User Content or your use of the Services or Futures Platform Content in violation of these Terms. Except where prohibited, we shall not be liable for any indirect, special, incidental, consequential, or exemplary damages arising from your use of the Services or any third party’s use of the Services.
11. Modifications and Termination. We reserve the right to modify our Services or these Terms at any time. For example, we may add or remove functionality or features, and we may suspend or stop a particular feature altogether. We also reserve the right to charge a fee for any of our features at any time. If you don’t like any changes, you can stop using our Services at any time.
12. Assignment. You may not assign your user right or the agreement without our written permission. Futures Platform may assign the agreement in its entirety, without your consent to its affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
13. Force Majeure. We are not responsible for any delay or error caused by reasons beyond our reasonable control (force majeure). In case of delays, we will resume the Services as soon as such it is reasonably possible in the circumstances.
14. Relationship with Other Terms. These Terms apply in addition to (and not in lieu of) the Master Services Agreement. In case of discrepancy, the Master Services Agreement or any other written agreement executed between us and the company you represent, will take precedence. Please note that these Terms and our Privacy Policy apply only to the use of our Services. When you use third-party services or content, which may be accessible via the Services, their terms and privacy policies will govern your use of those services or content.
15. Applicable Legislation and Settlement of Disputes. These Terms are governed by and construed in accordance with the laws of Finland, without regard to its conflict of laws rules. If parties fail to settle the dispute in their mutual negotiations, the dispute shall be finally settled in arbitration by one (1) arbitrator, in Helsinki, Finland, in accordance with the Arbitration Rules of the Arbitration Institute of the Finnish Central Chamber of Commerce. The arbitration shall be conducted, and the arbitration award shall be given in English.
